1. Application and entire agreement
1.1 These Terms and Conditions apply to the provision of the Services detailed in our quotation (Services) by Doctor Secretary, Kneginje Milice 74, 35000 Jagodina, Serbia, company registration number 65593289, PIB 111686099, ICO ZA556774 and Doctor Secretary DOO Kneginje Milice 74, 35000 Jagodina, Serbia, company registration number 21684724, PIB 112485535, (we or us or Service Provider) to the person buying the services (you or Client).
1.2 You are deemed to have accepted these Terms and Conditions when you accept our quotation or from the date of any performance of the Services (whichever happens earlier).
2. Term
2.1 The Service Provider shall provide the Services to the Client from the date of this Agreement unless and until this Agreement is terminated by either party giving to the other not less than 30 days prior written notice.
3. Services
3.1 The Service Provider shall provide the Services, including telephone and email answering, sending correspondence, arranging tests for patients and any other administrative work, with all due care, skill and ability and use their best endeavours at all times to promote the interests of the Client unless prevented by ill health or accident.
3.2 It is agreed that the hours actually worked by the Service Provider shall be reviewed by the parties on an annual basis.
3.3 If the Service Provider is unable to provide the Services due to illness or injury, they shall advise the Client of that fact as soon as reasonably practicable. No fee shall be payable in respect of any period during which the Services are not provided.
3.4 The Service Provider shall ensure that they are available at all times on reasonable notice to provide such assistance or information as the Client may require from time to time.
3.5 Unless they have been specifically authorised to do so by the Client in writing, the Service Provider shall not have any authority to incur any expenditure in the name of or for the account of the Client; or hold themselves out as having authority to bind the Client.
3.6 In the performance of its obligations hereunder, Service Provider shall have the right, in their sole discretion, to subcontract its rights and responsibilities to a third party, provided that the Service Provider shall remain responsible for the performance of any such third party.
4. Client’s obligations
4.1 The Client is responsible for granting the Service Provider or their subcontractors access to facilities, systems, networks, wireless networks, operating systems, mobile devices, system utilities required to perform the agreed tasks.
4.2 The Client shall provide all necessary training and notify of any changes in Client’s policies and procedures in a timely manner.
5. Payment
5.1 In consideration of the provision of the Services, the Client will pay the Service Provider the Fees along with any applicable VAT either by Visa, EC/MC, Maestro, DINA and Amex card (Card payment providers: OTP Banka and AllSecure Payment Gateway) payment or by international bank transfer into our GBP currency account:

5.2 The Service Provider shall submit invoices to the Client on a monthly basis setting out the hours worked for the Client during the preceding month and any VAT payable (if applicable). The Client will pay such invoices within thirty days of receipt.
5.3 Without limiting any other right or remedy we have for statutory interest, if you do not pay within the period set out above, we will charge you interest at the rate of 3% per annum above the base lending rate of the Bank of England from time to time on the amount outstanding until payment is received in full.
5.4 All payments due under these Terms and Conditions must be made in full without any deduction or withholding except as required by law and neither of us can assert any credit, set-off or counterclaim against the other in order to justify withholding payment of any such amount in whole or in part.
5.5 If the Client does not pay within the period set out above, we can suspend any further provision of the Services and cancel any future services which have been ordered by, or otherwise arranged with, you.
5.6 Receipts for payment will be issued by us only at your request.
5.7 All card payments will be effected in Serbian currency – dinar (RSD). The amount your credit card account will be charged for is obtained through the conversion of the price in GBP into Serbian dinar according to the current exchange rate of the Serbian National Bank. When charging your credit card, the same amount is converted into your local currency according to the exchange rate of credit card associations. As a result of this conversion there is a possibility of a slight difference from the original price stated on the invoice.
6. Other activities
6.1 Nothing in this Agreement shall prevent the Service Provider from being engaged, concerned or having any financial interest in any capacity in any other business, trade, profession or occupation during the term of this Agreement provided that such activity does not cause a breach of any of the Service Provider's obligations under this Agreement;
7. Data Protection
7.1 When supplying the Services to the Client, the Service Provider may gain access to and/or acquire the ability to transfer, store or process personal data of the Client and associated third party
7.2 The parties agree that where such processing of personal data takes place, the Client shall be the 'data controller' and the Service Provider shall be the 'data processor' as defined in the General Data Protection Regulation (GDPR) as may be amended, extended and/or re-enacted from time to time.
For the avoidance of doubt, 'Personal Data', 'Processing', 'Data Controller', 'Data Processor' and 'Data Subject' shall have the same meaning as in the GDPR.
7.3 The Service Provider shall only Process Personal Data to the extent reasonably required to enable it to supply the Services as mentioned in these terms and conditions or as requested by and agreed with the Client, shall not retain any Personal Data longer than necessary for the Processing and refrain from Processing any Personal Data for its own or for any third party's purposes.
7.4 The Service Provider shall not disclose Personal Data to any third parties other than employees, directors, agents, sub-contractors or advisors on a strict 'need-to-know' basis and only under the same (or more extensive) conditions as set out in these terms and conditions or to the extent required by applicable legislation and/or regulations.
7.5 The Service Provider shall implement and maintain technical and organisational security measures as are required to protect Personal Data Processed by the Service Provider on behalf of the Client.

7.7 The Service Provider will comply with the Client's data protection policy (as amended from time to time) when processing personal data relating to any employee, worker, Client, client, supplier or agent of the Client.
8.0 Refunds
8.1 In case it is required to return the funds of the collected funds to the Client in full or partially, regardless of the reason for the return, Doctor Secretary DOO shall return the funds:
8.1.1 for payments made by VISA, EC/MC and Maestro method of payment exclusively through VISA, EC/MC and Maestro method of payment, which means that the Chip Card/Bank will refund requested amount to the customer’s account, following a request of the Merchant.
8.1.2 for payments made by international bank transfer, exclusively through international bank transfer from Doctor’s Secretary DOO bank account.

10.0 Personal Data
10.1 The Service Provider consents to the Client holding and processing personal data relating to them for legal, personnel, administrative and management purposes.
10.2 The Service Provider consents to the Client making such information available to those who provide products or services to the Client (such as advisers), regulatory authorities, governmental or quasi-governmental organisations and potential purchasers of the Client or any part of their business.
10.3 The Service Provider consents to the transfer of such information to the Client's business contacts whether inside or outside the European Economic Area in order to further the Client’s business interests.
10.4 When entering payment card data, confidential information is transmitted via a public network in a protected (encrypted) form using the SSL protocol, using the most modern methods of tokenisation of sensitive data, and in accordance with PCI-DSS standards. Payment card information is never available to the merchant.
3D Secure protection for all merchants and customers - AllSecure Payment Gateway uses the highest global standards of data protection and privacy. All merchants using the AllSecure Payment Gateway are automatically included in 3D-Secure protection, thus guaranteeing the security of purchases to customers. Customers' payment card numbers are not stored on the merchant's system, and the registration itself is protected by SSL data encryption.
PCI DSS Standards - AllSecure Payment Gateway constantly complies with all requirements of card organizations in order to increase the security level of merchants and customers. From 2005 to today, without interruption, the system has been certified as PCI-DSS Level 1, which represents the highest standard in the industry. PCI Data Security Standard (PCI-DSS) is a norm that defines the necessary security measures for processing, storing and transmitting sensitive card data. PCI Standards protect sensitive data about the cardholder during the entire payment process: from the moment of data entry at the merchant's point of sale, during communications between the merchant and relevant banks and card organizations, as well as later storage of that data.
